**Position Overview:**

As a Compliance Officer, you will play a crucial role on ROC compliance, drafting, board meetings and reviewing all documentation related to secretarial activities.

**Location:** Kolkata, India

**Responsibilities:**

• Staying updated on new and evolving laws and regulations under the Companies Act and other relevant bodies.
• Ensuring the timely and accurate e-filing of various documents with the Ministry of Corporate Affairs.
• Filing of annual financial, annual return, detailing the shareholding pattern, management structure, and details of directors.
• Submitting forms for significant events such as changes in directors, auditor appointments, changes in share capital etc.
• Preparation and maintenance of physical and electronic statutory registers, including the Register of Members, Directors, Charges, and Share Transfers, in compliance with legal standards.
• Managing the logistics and documentation for all Board Meetings, Committee Meetings, and Annual General Meetings, including drafting notices, agendas, and minutes.
• Coordinating with external auditors, company secretaries in practice, legal counsel, and regulatory authorities.
