Company Secretary (CS)

Position Overview
We are looking for an experienced and detail-oriented Company Secretary (CS) to join our automobile organization. The candidate will be responsible for managing corporate compliances, secretarial functions, regulatory filings, board-related matters, and ensuring adherence to all applicable laws and regulations. The ideal candidate should possess strong knowledge of corporate governance, Companies Act compliances, and secretarial activities within a corporate environment.
Key Responsibilities
- Ensure compliance with the Companies Act and other applicable corporate regulations.
- Manage all secretarial and compliance-related activities of the company.
- Conduct and coordinate Board Meetings, Annual General Meetings (AGMs), and prepare minutes, agendas, and resolutions.
- Maintain statutory registers, records, and filings with ROC and other regulatory authorities.
- Coordinate with auditors and government authorities for compliance-related matters.
- Handle corporate governance matters and ensure timely statutory compliances.
- Monitor changes in relevant legislation and advise management accordingly.
- Ensure timely filing of annual returns, financial statements, and other statutory documents.
- Support management in maintaining corporate policies and internal compliance systems.
- Liaise with internal departments for smooth execution of compliance processes.
Required Skills & Qualifications
- Qualified Company Secretary (CS) from ICSI.
- Must be an Associate/Fellow Member of ICSI with a valid membership registration.
- Minimum 10 years of experience in corporate compliance and secretarial work.
- Strong knowledge of the Companies Act, corporate laws, and regulatory compliances.
- Excellent drafting, documentation, and communication skills.
- Experience in handling board procedures and statutory filings.
- Strong coordination and stakeholder management abilities.
- Proficiency in MS Office and compliance management systems.
- Prior experience in the automobile industry will be preferred.
